Section 01
Acceptance of Terms

By creating an account, accessing, or using DayRate LIVE (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and DayRate LIVE, LLC, a California limited liability company ("DayRate LIVE," "we," "us," or "our"). These Terms apply to all users of the Service, including musicians, crew members, tour managers, artist managers, and any other individuals or entities who access the platform.

If you are using the Service on behalf of an organization or team, you represent that you have the authority to bind that organization to these Terms.

Description of Service

DayRate LIVE is a cloud-based invoicing and payment platform designed for touring musicians, crew members, and their management teams. The Service allows users to:

Section 03
Accounts & Eligibility

To use DayRate LIVE, you must be at least 18 years of age and capable of forming a legally binding contract. The Service is intended for professional use in the music touring industry.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account at support@dayrate.live.

You may not create more than one account per person without our express written permission. We reserve the right to suspend or terminate accounts that we reasonably believe are fraudulent, duplicative, or in violation of these Terms.

You agree to provide accurate, current, and complete information when creating your account and to keep that information up to date.

Section 04
Subscriptions & Billing

DayRate LIVE offers paid subscription plans ("Solo" and "Artist Team") billed on a monthly or annual basis. Subscription fees are charged in advance at the start of each billing period.

Artist Team Plan: One subscription covers the entire touring party. Musicians and crew members invited to a team receive full Pro access at no additional cost, covered under the team license.

Billing: Payments are processed securely by Stripe. By subscribing, you authorize DayRate LIVE to charge your payment method on a recurring basis until you cancel. All fees are in US dollars.

Annual plans: Annual subscriptions are charged in full at the start of the billing year. Annual plans are non-refundable except as required by applicable law.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period for which you have paid.

Refunds: Monthly subscriptions are non-refundable except at our sole discretion. If you believe you have been charged in error, contact us within 30 days at support@dayrate.live.

Price changes: We may change subscription prices with at least 30 days' notice. Continued use of the Service after a price change takes effect constitutes your acceptance of the new price.

Promotional codes: Promotional codes are single-use, non-transferable, and subject to expiration and redemption limits. We reserve the right to modify or cancel promotional offers at any time.

Free Plan

DayRate LIVE offers a free tier with the following limitations:

We reserve the right to modify the free plan's features and limits at any time with reasonable notice. Free plan users are subject to all Terms applicable to paid users except where otherwise noted.

Section 06
DayRate PAY — ACH Payment Feature

Important: DayRate PAY is an optional feature that facilitates ACH direct deposit payments between tour management and musicians. DayRate LIVE, LLC is not a bank, money transmitter, or financial institution. All payment processing is handled by Stripe, Inc. under Stripe's terms of service.

DayRate PAY allows management users to pay musician invoices via ACH direct deposit through Stripe Connect. The following terms apply to all users of DayRate PAY:

For Musicians (Recipients): To receive payments through DayRate PAY, you must complete Stripe Connect Express onboarding, which includes identity verification and bank account connection. By completing onboarding, you agree to Stripe's Connected Account Agreement. You will receive the full invoice amount. DayRate LIVE collects a platform fee from the paying party only — your payout is never reduced by DayRate LIVE fees.

For Management (Payers): To send payments through DayRate PAY, you must connect a US bank account via Stripe's instant verification. By initiating a payment, you authorize DayRate LIVE and Stripe to debit your connected bank account for the invoice total plus the applicable DayRate PAY platform fee.

Platform Fee: DayRate PAY charges a platform fee of 1.8% of the invoice total, capped at a maximum of $15.00 per transaction. This fee is charged to the paying party (management) in addition to the invoice total. Musicians always receive their full invoice amount.

Settlement: ACH payments typically settle in 2-4 business days. DayRate LIVE does not guarantee settlement timing, which is subject to Stripe's processing times and banking network conditions.

Payment Authorization: By clicking "Confirm Payment" in the DayRate PAY modal, you authorize a one-time ACH debit from your connected bank account. You acknowledge that ACH payments cannot be cancelled once initiated and that disputes are subject to the ACH dispute policy in Section 7.

No Holding of Funds: DayRate LIVE, LLC never holds, stores, or has access to your funds. All funds flow directly through Stripe's infrastructure between your bank and the musician's bank.

ACH Disputes & Chargebacks

By using DayRate PAY, you acknowledge and agree to the following ACH dispute policy. This policy is displayed at the point of payment and must be accepted before each transaction.

Dispute Fee: When a management user's bank reverses an ACH payment (a "dispute" or "chargeback"), Stripe charges DayRate LIVE a flat $15.00 dispute fee. DayRate LIVE will automatically charge this $15.00 fee to the management user's payment method on file. By using DayRate PAY, you expressly authorize this charge.

Musician Protection: Musicians are never responsible for ACH disputes initiated by management. A dispute does not affect a musician's payout. If funds have already been deposited, the musician retains them. DayRate LIVE will pursue recovery of disputed funds from the management party only.

Dispute Process: If you believe a payment was made in error or without authorization, contact us immediately at support@dayrate.live before initiating a bank dispute. Initiating a bank dispute without first contacting us may result in the $15.00 dispute fee being charged regardless of outcome.

Abuse: Users who initiate fraudulent disputes or repeatedly dispute valid payments may have their DayRate PAY access suspended or terminated.

Section 08
User Content & Data

You retain ownership of all content you submit to DayRate LIVE, including invoices, receipts, expense data, and any other information ("User Content"). By submitting User Content, you grant DayRate LIVE a limited, non-exclusive license to store, process, and display your User Content solely as necessary to provide the Service.

You are solely responsible for the accuracy, legality, and appropriateness of your User Content. DayRate LIVE does not verify the accuracy of invoice amounts, expense claims, or any other financial data you enter.

We use industry-standard security practices to protect your data, but we cannot guarantee absolute security. You agree to use strong passwords and maintain the security of your account.

Smart Scan: When you use the Smart Scan feature, receipt images are transmitted to Anthropic's Claude API for processing. By using Smart Scan, you consent to this data transmission. We do not store your receipt images with Anthropic beyond the processing of a single request.

Prohibited Use

You agree not to use DayRate LIVE to:

Violation of these prohibitions may result in immediate account termination and, where appropriate, referral to law enforcement.

Section 10
Intellectual Property

DayRate LIVE, the DayRate LIVE logo, DayRate PAY, and all associated trademarks, service marks, and trade names are the property of DayRate LIVE, LLC. Nothing in these Terms grants you any right to use our trademarks without our prior written consent.

The Service, including its design, code, features, and content (excluding User Content), is owned by DayRate LIVE, LLC and protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works based on the Service without our express written permission.

Section 11
Privacy

Your use of DayRate LIVE is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

We do not sell your personal information to third parties. We share your data only as necessary to provide the Service (e.g., with Stripe for payment processing, Resend for email delivery, and Anthropic for Smart Scan processing) or as required by law.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

DayRate LIVE does not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not warrant the accuracy of any Smart Scan output, invoice calculation, or financial data processed by the Service. You are responsible for verifying all financial information before sending or paying any invoice.

DayRate LIVE is not a financial advisor, accountant, or tax advisor. Nothing in the Service constitutes financial, accounting, or tax advice.

Section 13
Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DAYRATE LIVE, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL DAYRATE LIVE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO DAYRATE LIVE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless DayRate LIVE, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

Termination

You may terminate your account at any time by contacting us at support@dayrate.live. Upon termination, your right to use the Service ceases immediately.

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or for any other reason at our sole discretion. In cases of serious violation, we may terminate your account immediately without refund.

Upon termination, we may delete your User Content after a reasonable retention period. We are not liable for any loss of data resulting from termination. You may export your invoice data before terminating your account.

Sections 7, 10, 12, 13, 14, and 16 survive termination of these Terms.

Section 16
Governing Law & Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of such courts.

Informal Resolution: Before filing any legal claim, you agree to contact us at support@dayrate.live and attempt to resolve the dispute informally for at least 30 days.

Class Action Waiver: To the extent permitted by law, you waive any right to participate in a class action lawsuit or class-wide arbitration against DayRate LIVE.

Section 17
Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and/or by displaying a prominent notice in the Service at least 14 days before the changes take effect.

Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service before the effective date of the changes.

The most current version of these Terms will always be available at dayrate.live/tos.html.
